Welcome to CelerisPay. These Terms and Conditions ("Terms") govern your use of the CelerisPay payment gateway platform, APIs, and related services (collectively, the "Services") provided by CelerisPay Technologies Private Limited ("CelerisPay", "Company", "we", "us", or "our").

By registering for or using our Services, you ("Merchant", "User", "you") agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

1. Definitions

  • "Merchant" means any business or individual registered to use CelerisPay's payment gateway services.
  • "Transaction" means any payment initiated by a customer through CelerisPay's platform.
  • "Settlement" means the transfer of collected funds to the Merchant's registered bank account.
  • "Platform" means CelerisPay's web-based dashboard, APIs, SDKs, and all associated tools.
  • "Customer" means any individual who makes a payment through a Merchant's CelerisPay-powered checkout.

2. Account Registration and KYC

To use our Services, you must:

  • Be at least 18 years of age and legally capable of entering into contracts
  • Provide accurate, complete, and current business and personal information
  • Complete the KYC (Know Your Customer) verification process as mandated by RBI guidelines
  • Maintain the security and confidentiality of your account credentials
  • Promptly notify us of any unauthorized use of your account

CelerisPay reserves the right to reject, suspend, or terminate any account that fails to meet our KYC requirements or is found to be in violation of these Terms.

3. Permitted Use and Prohibited Activities

You agree to use our Services only for lawful business purposes. The following activities are strictly prohibited:

  • Processing payments for illegal goods or services
  • Money laundering, fraud, or any financial crime
  • Processing payments for adult content, gambling, or cryptocurrency without explicit approval
  • Using the platform to collect payments for fictitious goods or services
  • Attempting to circumvent fraud detection systems
  • Sharing account access with unauthorized third parties
  • Reverse engineering or attempting to access our system's source code

4. Transaction Processing and Fees

CelerisPay processes transactions on your behalf subject to the following:

  • Transaction fees are charged as per your selected plan (as listed on our Pricing page)
  • Fees are deducted before settlement to your bank account
  • We reserve the right to modify fees with 30 days prior notice
  • All fees are exclusive of GST, which will be charged additionally at applicable rates
  • Minimum transaction amount is ₹1 and maximum is subject to your plan limits

5. Settlement Terms

  • Settlements are processed as per the cycle applicable to your plan (T+0, T+1, or T+2)
  • Settlements are subject to successful transaction verification and fraud checks
  • CelerisPay reserves the right to withhold settlements pending investigation of suspicious activity
  • Settlements are made only to the bank account registered and verified in your merchant account
  • Settlement amounts may be adjusted for refunds, chargebacks, and disputed transactions

6. Chargebacks and Disputes

In the event of a chargeback:

  • The disputed amount plus chargeback processing fee (₹500 per chargeback) will be deducted from your settlements
  • You must provide all requested evidence and documentation within 5 business days
  • CelerisPay will represent your case to the payment network but cannot guarantee outcomes
  • Excessive chargeback rates may result in account suspension or termination

7. Refund Policy

Merchants are responsible for managing their own refund policies toward customers. CelerisPay will process refund requests initiated by the Merchant through our platform, subject to:

  • Availability of sufficient balance in the Merchant's account
  • Original transaction being in a valid refundable state
  • Refund processing time of 5-7 business days to the customer's original payment method
  • In case of split settlements, refund amounts will be proportionally reversed from vendors and platform accounts

8. Intellectual Property

All intellectual property rights in the CelerisPay platform, including software, APIs, logos, brand assets, and documentation, are owned exclusively by CelerisPay Technologies Private Limited. You are granted a limited, non-exclusive, non-transferable license to use our Services during your subscription period.

9. Limitation of Liability

To the maximum extent permitted by law, CelerisPay shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability to you for any claim arising from these Terms or your use of the Services shall not exceed the fees paid by you to CelerisPay in the 3 months preceding the claim.

10. Termination

Either party may terminate the agreement with 30 days written notice. CelerisPay may terminate immediately if you violate these Terms, engage in fraudulent activity, or fail to maintain the required KYC standards. Upon termination, all pending settlements will be processed within 7-14 business days after deduction of any outstanding fees.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes arising from these Terms shall first be attempted to be resolved through mutual negotiation. If unresolved, disputes shall be subject to binding arbitration in New Delhi, India, under the Arbitration and Conciliation Act, 1996.

12. Marketplace & Split Settlement Model

CelerisPay operates as a marketplace and payment facilitation platform where payments collected from customers may be distributed among multiple parties including vendors/service providers and the platform.

  • Payments may be split between vendors and the platform based on predefined or API-configured logic
  • Standard split model: Vendor 94% and Platform 6% (may vary as per agreement)
  • Vendors are onboarded as sub-merchants and must complete KYC verification
  • CelerisPay acts only as an intermediary and does not own or control vendor services
  • Settlement to vendors is processed automatically as per configured split ratios

13. Customer Protection

All merchants and vendors are solely responsible for the quality, delivery, and fulfillment of services/products offered to customers.

  • CelerisPay does not guarantee or take responsibility for any service or product provided by vendors
  • All disputes regarding service delivery must be resolved between the Merchant and the Customer

14. Vendor Onboarding & Compliance

  • All vendors/service providers must complete KYC verification before receiving settlements
  • Merchants are responsible for ensuring vendor authenticity and compliance with applicable laws
  • CelerisPay reserves the right to suspend vendors that fail compliance checks

15. Fund Flow & Settlement Structure

  • All customer payments are processed through authorized payment gateways
  • Funds are not pooled or misused by the platform
  • Payments are directly split and settled to respective vendor and platform accounts
  • Settlement timelines are subject to banking and gateway processing cycles
  • CelerisPay does not at any point take ownership of funds and only facilitates the transfer of funds between customers and vendors.

16. Refunds in Split Transactions

  • Refunds will be processed proportionally based on the original split ratio
  • Vendor and platform share will be reversed accordingly
  • Refund processing is subject to available balance and transaction eligibility
